§1 Scope of Application<\/h2>\n

\nThese General Terms and Conditions (“Terms”) apply to all contracts,\ndeliveries and services provided by\nWerbe- & Haustechnik Kirsten GmbH<\/strong>,\nAugust-Schanz-Stra\u00dfe 46, 60433 Frankfurt am Main, Germany\n(the “Company”).\n<\/p>\n\n

\nCustomers within the meaning of these Terms include both consumers (Section 13 BGB) and\nbusiness entities (Section 14 BGB). Any deviating terms proposed by the customer will not be\nrecognised unless the Company has expressly agreed to them in writing.\n<\/p>\n\n

§2 Offer and Conclusion of Contract<\/h2>\n\n

\nOur offers are subject to change and non-binding, unless expressly marked as binding.\n<\/p>\n\n

\nA contract is only formed once the Company confirms an order in writing, by email,\nor by delivering the goods or providing the service.\n<\/p>\n\n

\nWe reserve the right to make technical changes, deviations and improvements to our services,\nprovided these are reasonable for the customer.\n<\/p>\n\n

§3 Prices and Payment Terms<\/h2>\n\n

\nAll prices are quoted in euros and include statutory VAT, unless stated otherwise.\n<\/p>\n\n

\nInvoices are due for payment immediately upon receipt, without deduction,\nunless otherwise agreed.\n<\/p>\n\n

\nThe customer is in default at the latest 14 days after the due date and receipt of the\ninvoice, without any further notice being required.\n<\/p>\n\n

§4 Delivery and Performance<\/h2>\n\n

\nDeliveries are made ex works from the Company’s premises, unless otherwise agreed.\n<\/p>\n\n

\nDelivery deadlines are only binding if expressly agreed as such.\n<\/p>\n\n

\nIn the event of force majeure, supply shortages or other unforeseeable circumstances,\ndelivery deadlines will be extended accordingly.\n<\/p>\n\n

§5 Transfer of Risk<\/h2>\n\n

\nFor consumers, the risk of accidental loss or deterioration of the goods only passes\nto the consumer upon handover of the goods.\n<\/p>\n\n

\nFor business customers, the risk passes upon handover of the goods to the\ncarrier.\n<\/p>\n\n

§6 Warranty<\/h2>\n\n

\nStatutory warranty rights apply.\n<\/p>\n\n

\nFor business customers, the warranty period for delivered goods is\n12 months from the date of delivery.\n<\/p>\n\n

\nObvious defects must be reported in writing without delay after receipt of the goods.\n<\/p>\n\n

§7 Liability<\/h2>\n\n

\nThe Company is liable without limitation for damages resulting from injury to life,\nbody or health, as well as in cases of intent or gross negligence.\n<\/p>\n\n

\nIn cases of slight negligence, the Company is only liable for breaches of material\ncontractual obligations (cardinal obligations) and limited to foreseeable damage.\n<\/p>\n\n

§8 Retention of Title<\/h2>\n\n

\nDelivered goods remain the property of the Company until full payment of all\nclaims arising from the contractual relationship has been received.\n<\/p>\n\n

§9 Data Protection<\/h2>\n\n

\nPersonal data is processed exclusively in accordance with statutory data protection\nregulations.\n<\/p>\n\n

§10 Governing Law<\/h2>\n\n

\nThe law of the Federal Republic of Germany applies, excluding the UN Convention on\nContracts for the International Sale of Goods (CISG).\n<\/p>\n\n

§11 Place of Jurisdiction<\/h2>\n\n

\nIf the customer is a merchant, a legal entity under public law, or a special fund under\npublic law, the place of jurisdiction is Frankfurt am Main.\n<\/p>\n\n

§12 Final Provisions<\/h2>\n\n

\nShould any individual provision of these Terms be or become invalid, in whole or in\npart, the validity of the remaining provisions shall remain unaffected.\n<\/p>\n\n

\nAmendments or additions to these Terms must be made in writing.\n<\/p>\n\n

§13 Right of Withdrawal for Consumers<\/h2>\n\n

\nConsumers generally have a statutory right of withdrawal for contracts concluded away\nfrom business premises and for distance contracts.\n<\/p>\n\n

Withdrawal Instructions<\/h3>\n\n

\nYou have the right to withdraw from this contract within fourteen days without giving\nany reason.\n<\/p>\n\n

\nThe withdrawal period is fourteen days from the day on which you, or a third party\nnamed by you, took possession of the goods.\n<\/p>\n\n

\nTo exercise your right of withdrawal, you must inform us\n<\/p>\n\n

Effects of Withdrawal<\/h3>\n\n

\nIf you withdraw from this contract, we will reimburse all payments we have received\nfrom you without undue delay and no later than fourteen days from the day on which\nwe are informed of your decision to withdraw from this contract.\n<\/p>\n\n
